- Digital Marketing
- Software Consulting
2. Project Engagement
A project begins only after:
- Scope approval
- Cost agreement
- Initial payment (if applicable)
Any additional work outside agreed scope may require separate charges.
3. Client Responsibilities
Clients must:
- Provide accurate requirements
- Supply necessary content and credentials
- Review deliverables promptly
- Communicate changes clearly
Delays from the client side may affect project timelines.
4. Payments
Payments must be made according to agreed milestones.
Late payments may result in:
- Project suspension
- Delayed delivery
- Additional administrative charges
5. Intellectual Property
Unless otherwise agreed:
Client Owns
- Final delivered project
- Custom-developed code paid for by client
- Client-provided content
ElexisCorp Retains Rights To
- Internal frameworks
- Reusable components
- Libraries
- Development methodologies
- Proprietary tools
6. Third-Party Software
Projects may include:
- ERPNext
- Frappe Framework
- Open-source libraries
- APIs
- Cloud services
Such software remains subject to their respective licenses.
7. Project Delays
ElexisCorp shall not be responsible for delays caused by:
- Client inaction
- Third-party service interruptions
- Force majeure events
- Government restrictions
- Hosting provider outages
8. Warranty
Unless specified in writing:
- Software is provided "as is."
- No guarantee is made that services will be error-free.
- Reasonable efforts will be made to correct reported issues.
9. Limitation of Liability
ElexisCorp shall not be liable for:
- Indirect damages
- Loss of profits
- Business interruption
- Data loss
- Consequential damages
Maximum liability shall not exceed the amount paid by the client for the relevant project.
10. Confidentiality
Both parties agree to maintain confidentiality regarding:
- Business information
- Source code
- Trade secrets
- Client records
- Project documentation
11. Portfolio Rights
Unless restricted by written agreement, ElexisCorp may display completed projects in:
- Portfolio
- Case Studies
- Marketing Materials
- Social Media
No confidential information will be disclosed.
12. Termination
Either party may terminate a project by written notice.
Outstanding payments remain payable.
Work completed up to termination will be billed accordingly.
13. Indemnification
Clients agree to indemnify ElexisCorp against claims arising from:
- Client-provided content
- Copyright violations
- Illegal business activities
- Misuse of delivered software
14. Governing Law
These Terms shall be governed by the laws of the Republic of India.
Any disputes shall be subject to the jurisdiction of courts in Gujarat, India.
